Strategic Alliance member on transactions for Meroe Capital and/or

our Client's interest, leveraging each firms strengths to meet the

objective. Beyond strengths, the provision of our Strategic Alliance

secures our ability to provide for our Client's interest above any

perceived or real conflict of interest in a way that other investment

banking firms cannot, when required to offer similar “arms-length
